General Terms and Conditions

By proceeding with the update, you agree and acknowledge that:

  1. the terms of TMCA’s privacy policy from time to time, available at ww.toyota.com.au/privacy (Privacy Policy) are incorporated into these terms of use by reference. If you provide or make available any personal information or sensitive information of a third party to TMCA you warrant that you have obtained the third party's consent to disclose their information to TMCA for collection, use and transfer in accordance with the terms of the Privacy Policy. Your information may be collected, held, used and shared within the OneToyota network* to provide you an integrated guest experience across the network, and will be handled in accordance with the privacy policies of those OneToyota organisations that deal with you (as applicable) available at www.toyota.com.au/privacy;

    * OneToyota comprises: Toyota, authorised Toyota dealers in Australia, Toyota Finance Australia Limited, Aioi Nissay Dowa Insurance Company Australia Pty Ltd trading as Toyota Insurance, and Toyota Western Australia (comprising Prestige Motors Pty Ltd as trustee for the Prestige Toyota Unit Trust and Eastpoint Pty Ltd);
  2. use of the Services is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy and effort is with you. To the maximum extent permitted by applicable law, the Services are provided on an "as is" and “as available” basis, with all faults and without warranty of any kind and TMCA hereby disclaims all warranties, guarantees and conditions with respect to the Services;
  3. TMCA does not warrant against interference with your enjoyment of the Services, that the Services will meet your requirements, that the Services will be uninterrupted or error-free, that defects (if any) in the Services will be corrected or that information provided via the Services is accurate, complete, current or suitable to your purposes. No oral or written information or advice given by TMCA or its authorised representative shall create a warranty;
  4. TMCA, and its licensors, reserve the right to change, suspend, remove, terminate or disable access to any Services at any time without notice. In no event will TMCA be liable for the removal of or disabling of access to any such Services;
  5. certain Services may display, include or make available content, data, information, applications or materials from third parties (Third Party Materials) or provide links to certain third party web sites. By using the Services, you acknowledge and agree that TMCA is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or web sites. TMCA does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any third-party Services, Third Party Materials or web sites, or for any other materials, products, or services of third parties;
  6. TMCA expressly limits its liability for breach of a condition or warranty implied or a consumer guarantee imposed by virtue of any legislation to the following remedies (the choice of which is to be at TMCA’s sole discretion):
    1. in the case of goods, the replacement of the goods or supply of equivalent goods, the repair of the goods, the payment of the costs of replacing the goods or of acquiring equivalent goods or the payment of the costs of having the goods repaired; and
    2. in the case of services, the supply of the services again or the payment of the cost of having the services supplied again.
  7. To the extent permitted by law, in no event shall TMCA be liable for any loss or damage (including direct, incidental, special, indirect or consequential damages, loss of profits, loss of data or business interruption costs) arising out of or related to your use or inability to use the Services, however caused, regardless of the theory of liability (contract, tort, including negligence or otherwise) and even if TMCA has been advised of the possibility of such damages. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose;
  8. TMCA may assign or transfer its rights and obligations under these terms of use to another organisation, but this will not affect your rights or TMCA’s obligations under these terms of use;
  9. these terms of use are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of its courts and courts of appeal from them. The parties will not object to the exercise of jurisdiction of those courts on any basis.

Connected Services Terms of Use




Effective as of 18 July 2023

Your vehicle is equipped with a factory installed data communication device (the “Communication Module”) which Toyota Motor Corporation Australia Limited (TMCA) uses to provide you with a range of services and functionality ("Connected Services”). The Connected Services available to you will depend on the model of your vehicle.

Before using the Connected Services you accept and agree to be bound by these Terms of Use and the terms of Toyota Motor Corporation Australia Limited’s (“TMCA”) privacy policy, available at www.toyota.com.au/privacy (“Privacy Policy”).

If you do not accept these Terms of Use, then you may not use the Connected Services. If you have any questions or wish to opt-out of the Connected Services please contact a Toyota dealer or call the Toyota Guest Experience Centre on 1800 869 682

It is your sole responsibility to make any of your passengers or drivers of your vehicle aware of the data collection, use, sharing and retention terms of the Privacy Policy and these Terms of Use.

1. TRIAL PERIOD

To obtain these Connected Services, your vehicle must contain a factory installed data communication device (the “Communication Module”).

Depending on your vehicle model, for a period of either one or three years from the delivery date of a new vehicle containing a Communication Module, we will provide all the Connected Services under these Terms of Use free of charge (“complimentary period”).

At the end of your complimentary period, you can continue to use the Connected Services by subscribing to one or more available service plans, through the myToyota Connect App.

Before the end of your complimentary period, TMCA will notify you of the terms of any service plans (including services covered, fees, subscription periods, payment, renewal and cancellation options and associated rights) applicable to your continued use of the Connected Services following the complimentary period. The terms applicable to any service plan to which you subscribe will be the terms that were notified to you or published when you first subscribed (or, if you have renewed your subscription, when you last renewed it), subject to any changes TMCA makes in accordance with sections 7 and 8 below.

If you notify us that you do not wish to continue to use the Connected Services at the end of your complimentary period we have the right to turn off your Communication Module.

2. YOUR RIGHT TO TRANSFER YOUR SERVICE

If you sell your vehicle, you must notify us by calling 1800 869 682 to organise deactivation of your Connected Services. We will cancel any active subscriptions to the Connected Services as soon as reasonably practicable after receiving notice of the transfer from you. If you do not notify us of the sale, your Connected Services subscriptions will continue on the same terms and conditions.

If the complimentary period is still active when the vehicle is sold, the new owner of the vehicle is entitled to receive the Connected Services free of charge for the remainder of the complimentary period.

You must notify the new owner of the vehicle about the following matters: (i) the vehicle contains a Communication Module and is subject to these Terms of Use; (ii) that the owner should contact TMCA on 1800 869 682 to ensure that the Connected Services for the vehicle are activated; and (iii) the remaining term of the complimentary period (if any).

If you have acquired the vehicle second hand, you must register for Connected Services and agree to be bound by these Terms of Use separately in order to receive Connected Services in the vehicle (including for the balance of any complimentary period).

3. HOW OUR SERVICE WORKS, RESTRICTIONS, AND SYSTEM LIMITATIONS

How the Connected Service Works

A. ACN and SOS Services

At a minimum, the Connected Services made available to you will include Automatic Collision Notification ("ACN"), Emergency Call ("SOS").

ACN and SOS services use the Communication Module and other features within the vehicle to detect certain vehicle events as well as identifying the Global Positioning System (“GPS”) location of the vehicle.

In circumstances where the vehicle detects a collision event (such as deployment of an airbag or selected other collision events) the Toyota Emergency Assistance Centre is notified and is provided with the GPS location of your vehicle via 3G/4G mobile telecommunication networks purchased by TMCA from one or more Third-Party Service Providers.

You can also contact the Toyota Emergency Assistance Centre for help by pressing the SOS button on your console.

The Toyota Emergency Assistance Centre will use reasonable efforts to contact appropriate Third-Party Service Providers and police, fire brigade or ambulance services for help when you ask for it, or when your vehicle records a collision event as described above and we don’t receive a prompt response from you. However, we cannot promise how quickly police, fire brigade or ambulance services or Third-Party Service Providers may respond.

B. myToyota Connect App

In some compatible vehicle models, the Communication Module may also collect and process data obtained from your vehicle and display it in the myToyota Connect App. By downloading the myToyota Connect App onto your device and following the instructions in the myToyota Connect App to register your vehicle, you may, depending on the model of your vehicle, be able to subscribe to a range of additional Connected Services, including:

  1. Vehicle Information provides you with information about your vehicle, such as your odometer reading and approximate fuel levels;
  2. Guest Driver Settings (previously Guest Driver Profile) provides you with information about your vehicle, such as your odometer reading and approximate fuel levels;
  3. Drive Pulse measures fast acceleration, harsh breaking and harsh cornering and provides a drive pulse score based on these factors;
  4. Vehicle Locator (previously Last Parked/Last known location) shows your vehicle’s last location on a map;
  5. Recent Trips provides you with information about your last 10 trips;
  6. Connected Multimedia provides you with enhanced functionality, syncing your phone with the in-car multimedia system so you can enjoy a seamless and integrated experience;
  7. Remote Connect allows you to take charge of your vehicles features from almost anywhere with the myToyota Connect app, including remote access to engine ignition, doors, boot, climate control and more; and
  8. Stolen Vehicle Tracking (SVT), which allows you to ask our Stolen Vehicle Assistance call centre to track and attempt to locate your vehicle if stolen.

Data for Recent Trips and Drive Pulse may take up to 48 hours to appear in the myToyota Connect App.

Other limitations and restrictions apply to the use of the Remote Connect Features and other Connected Services. Fees and charges may apply. For more information and complete description of these services, visit www.toyota.com.au/connected/plans-packages.

SVT uses the last GPS location of your vehicle reported using the Communications Module and 3G/4G mobile telecommunication networks purchased by TMCA from one or more Third-Party Service Providers. Provision of the SVT service is subject to you confirming to our reasonable satisfaction your identity and ownership of the vehicle and that you have reported your vehicle as being stolen to the police. We may place time limits on how long we attempt to locate your vehicle. If your vehicle is located, we will only provide that information to the police.

Connected Services may be altered, added or removed by us from time to time. C. Service Availability

Although we will try to provide continuous access to the Connected Services, we cannot and do not guarantee that the Connected Services will be available 100% of the time. Loss of availability could be caused by a number of reasons, including, without limitation network failures, network or equipment upgrades or maintenance, congestion or other technical problems scheduled or unscheduled.

Not all Connected Services are available in all geographic locations, particularly in areas with poor mobile reception (e.g., remote or enclosed areas). The Connected Services available to you may vary depending upon your vehicle model and model year. For information on the Connected Services available in your vehicle, please visit https://www.toyota.com.au/connected or consult your Toyota dealer.

D. Communication Module Limitations

Your vehicle is only able to establish calls with the Toyota Emergency Assistance Centre, to request assistance using the SOS feature. TMCA does not provide you with a telecommunications service. If you wish to make other calls, send text messages or access the internet through the head unit of your vehicle, you will be required to connect your own mobile telephone to the vehicle to do so, and use of your own mobile telephone will be subject to separate terms and conditions and may incur separate charges from your telecommunications service provider.

Your vehicle must have a working electrical system, including adequate battery power and be within a wireless network coverage area of the 3G/4G mobile telecommunications networks used by TMCA to provide the Connected Services for your Communication Module to operate and for TMCA to provide the connected Services.

Connected Services may not work (or may not work correctly, or provide only partial or inaccurate information), if:

  1. any vehicle component, hardware or software required to provide the Connected Services is malfunctioning, is damaged or has been modified or tampered with;
  2. you have not properly installed the myToyota Connect App on your device, or have not registered your vehicle on the myToyota Connect App;
  3. you have not subscribed to Connected Services, or have opted-out of Connected Services;
  4. your vehicle is not compliant with government regulations and/or laws;
  5. your vehicle is damaged in a way that impacts the operation of the Communications Module; or
  6. there is limited mobile network coverage or access to the Telstra 3G/4G network.

Connected Services may fail, or be delayed, due to acts of nature, or forces or causes beyond our reasonable control, including but not limited to weather conditions, public utility failure, acts of war, government actions, terrorism, civil disturbances, wireless network congestion or system failures including internet, computer, telecommunication or other system failures.

4. SUBSCRIPTION SERVICE PLANS

A. Your Subscription for Connected Services

You can subscribe to one or more available service plans for the Connected Services through the myToyota Connect App.

B. Payment for your Connected Services Subscription

Payment for your subscription must be made through the myToyota Connect App. Your subscription will automatically renew for the next monthly period at the end of each billing cycle and you will be charged for the next billing cycle unless you cancel your subscription before it commences.

C. Managing Your Connected Services Subscription

You can manage your subscriptions and change your personal or payment details through the myToyota Connect App.

You may cancel your subscription at any time via the myToyota Connect App. We will cancel your subscription as soon as reasonably practicable after receiving your request. However, you acknowledge and agree that your cancellation will not be effective until the end of your current billing cycle.

D. Pricing

We may change the subscription fees for any Connected Services at any time by providing you with at least 14 days’ notice via email. If you disagree with our proposed change in fees you may cancel your subscription before the end of the current billing cycle.

5. THIRD PARTY SERVICE PROVIDERS AND BENEFICIARIES

We work with many different companies, individuals and government entities to provide you with your Connected Services.

In these Terms of Use, “Third Party Service Provider” means any person, company, organisation or entity who provides any service, Communication Module or facilities in connection with your Connected Services. We will use reasonable efforts to contact appropriate Third Party Service Providers including police, fire brigade or ambulance services for help when you ask for it or when the Communication Module in your vehicle signals for it, but we cannot promise prompt responses from the Third Party Service Providers.

6. YOUR DUTIES AND RESPONSIBILITIES

It is your responsibility to make sure your vehicle, your Communication Module and your device which hosts the myToyota Connect App are functioning and activated.

You acknowledge and agree that the operation of your vehicle requires your full attention. You agree to comply with all applicable laws and regulations relating to your use of your vehicle, and to ensure that you pay proper attention to the operation of your vehicle and exercise reasonable care when operating your vehicle, including when using the Connected Services.

If the light located next to the SOS button in your vehicle is red or off, this means that your Communication Module is not functioning properly or is inactive and should be checked by a Toyota dealer.

You are solely responsible for:

  1. any use of the Connected Services in your vehicle, even if you are not the one using it;
  2. the costs of any emergency services requested by you, or by anyone using your vehicle including as a result of an automatic collision notification or when you press the SOS button; and
  3. providing contact information for use by our Toyota Emergency Assistance Centre when using the Connected Services including in the event of an automatic collision notification or when you press the SOS button.

Neither we nor any Third-Party Service Provider has any obligation to inquire about the authority of anyone using your vehicle.

If you or a driver of your vehicle uses the Connected Services or Communication Module to commit a crime or for another improper purpose, you will be responsible for any damages owed by us as a result of such use.

When you use the Connected Services, you agree to:

  1. not to use the “SOS” button except for when you require the assistance of an emergency services provider including ambulance, police or fire brigade; and
  2. not to use your Connected Services for any fraudulent, unlawful, or abusive purpose, or in any way that interferes with our provision of Connected Services to our other customers.

7. OUR RIGHT TO CANCEL OR SUSPEND YOUR SERVICE

TMCA, and its licensors, reserve the right to change, suspend, remove, terminate or disable access to any or all of the Connected Services at any time by providing you with written notice in circumstances where:

  1. you are no longer subscribed to the Connected Services or you have breached your obligations under these Terms of Use;
  2. TMCA is no longer able to provide the Connected Services to you, including in circumstances where 3G/4G mobile telecommunications services or other services provided by Third Party Service Providers are no longer available to TMCA for any reason and in circumstances where it is unlawful for TMCA to supply the Connected Services to you; or
  3. TMCA has made a commercial decision to discontinue some or all of the Connected Services.

The 3G/4G mobile telecommunications networks on which the Connected Services rely may be retired at the end of 2029 (or at any later time determined by the relevant telecommunications providers). As a result, vehicles that rely on this network technology may lose Connected Services, and/or have limited functionality in their telematics capabilities after that time. You understand and agree that Connected Services and such capabilities may not be available after that time. TMCA will contact you if this occurs.

To the extent permitted by law, TMCA’s sole liability for the removal of or disabling of access to any such Connected Services is for TMCA to refund you any unused pre-paid subscription fees for the relevant Connected Services.

8. MODIFICATION TO AGREEMENT

TMCA may modify these Terms of Use by giving you notice or by asking you to read and accept a new version. We may give you notice by posting a new version of the Terms of Use at www.toyota.com.au/connected/terms-conditions. Your continued access or use of the Connected Services after our notice indicates your acceptance of the modified Terms of Use.

If you do not accept the change, you may cancel any active subscriptions to Connected Services service plans you have (by notifying us through one of the options we make available to you), and we will cancel those subscriptions as soon as reasonably practicable after receiving your request. You acknowledge and agree that our termination of your subscriptions will occur on the end of the monthly billing cycle during which your request for cancellation occurred.

9. INTELLECTUAL PROPERTY

The Connected Services and all copyright, trademarks and other intellectual property rights in any text, illustrations, files, images, graphics, photos, sounds, music, videos, information and other content displayed, played or made available through the Connected Services (collectively, the “Service Content”) are owned by us, our affiliates, our licensors or service providers. TMCA grants you a limited, non-exclusive and revocable license to use the Service Context solely in the manner in which we make it available to you in your vehicle or the myToyota Connect App, for your personal use of the Connected Services. Except for the limited rights granted to you in these Terms of Use, you do not acquire any right, title or interest in the Connected Services or any Service Content. Any rights not expressly granted in these Terms of Use or in any additional terms notified to you are expressly reserved.

10. NO WARRANTIES

To the maximum extent permitted by applicable law, the Connected Services are provided on an "as is" and “as available” basis, with all faults and without warranty of any kind and TMCA disclaims all warranties, guarantees and conditions with respect to the Connected Services.

TMCA does not warrant against interference with your enjoyment of the Connected Services, that the Connected Services will meet your requirements, that the Connected Services will be uninterrupted or error-free, that defects (if any) in the Connected Services will be corrected or that information provided via the Connected Services is accurate, complete, current or suitable to your purposes. No oral or written information or advice given by TMCA or its authorised representative shall create a warranty.

Nothing in these Terms of Use excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by any law (including consumer guarantees under the Australian Consumer Law) that cannot lawfully be excluded or limited (a "Non-Excludable Condition"). TMCA expressly limits its liability for breach of a Non-Excludable Condition to the following remedies:

  1. in the case of goods, the replacement of the goods or supply of equivalent goods, the repair of the goods, the payment of the costs of replacing the goods or of acquiring equivalent goods or the payment of the costs of having the goods repaired; and
  2. in the case of services, the supply of the services again or the payment of the cost of having the services supplied again.

To the maximum extent permitted by law including the Competition and Consumer Act 2010 (Cth), in no event shall TMCA be liable for any loss or damage (including death or personal injury, direct, incidental, special, indirect or consequential damages, loss of profits, loss of data or business interruption costs) arising out of or related to your use or inability to use the Connected Services, however caused, regardless of the theory of liability (contract, tort, including negligence or otherwise) and even if TMCA has been advised of the possibility of such damages. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

TMCA may assign or transfer its rights and obligations under these Terms of Use to another organisation, but this will not affect your rights or TMCA’s obligations under these Terms of Use.

11. PRIVACY

If you provide or make available any personal information or sensitive information of a third party, including for the purpose of using the Guest Driver Settings service, to TMCA you warrant that (i) you have obtained the third party's consent to disclose their information to TMCA for collection, use and transfer in accordance with the terms of the Privacy Policy; and (ii) that you have informed the third party of how their information will be handled by us. Your information may be collected, held, used and shared within the OneToyota network* to provide you an integrated guest experience across the network, and will be handled in accordance with the privacy policies of those OneToyota organisations that deal with you (as applicable) available at www.toyota.com.au/privacy.

  4. access to and use of the Services requires a compatible device, GPS signal and sufficient mobile data and. Mobile usage is at your cost. For information about data transmission fees, contact your mobile phone service provider.   5. in some States or Territories some or all of the functions provided by the Services are not permitted while driving. Please check your local road rules before using these functions. Please drive safely;
  6. some functions, including iPod* (Audio Playback), USB audio / USB video, Bluetooth® audio and Bluetooth® phone, may not be available. Personal data or other information (Data) stored on your vehicle’s head unit may be lost or destroyed. Toyota Motor Corporation Australia Limited (TMCA) is not responsible for any loss of Data;


myToyota Connect Terms of Use




These terms govern your access to and use of the myToyota Connect mobile application (myToyota Connect, or Application).
These Terms of Use are comprised of:
PART A – GENERAL TERMS; and
PART B – APPLE iOS TERMS: applicable to the Application if using an iOS device, (together, Terms of Use).

PART A – GENERAL TERMS
1. General:

You acknowledge that:

  1. myToyota Connect is owned and operated by Toyota Motor Corporation Australia Ltd (ABN 64 009 686 097) (Toyota) and Toyota provides you with access to myToyota Connect application subject to these Terms of Use; and
  2. the Application is licensed, not sold, to you for use only under these Terms of Use and Toyota reserves all rights not expressly granted to you.

2. Scope of Licence:

2.1. This licence granted to you by Toyota is limited to a non-exclusive, non-transferable licence to (as applicable) use the Application on any compatible device that you own or control. However, nothing in these Terms of Use allows you to:

  1. use the Application on any device that you do not own or control;
  2. rent, lease, lend, sell, redistribute or sublicense the Application; or
  3. copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Application, any updates, or any part thereof (except to the extent permitted by these Terms of Use, applicable law or the licensing terms governing use of any open source components included with the Application).

2.2. Unless stated otherwise by Toyota, these Terms of Use will govern any upgrade or modification to the Application by Toyota.

3. User Name and Password:

In order to register and use some or all of myToyota Connect’s functions and set up your profile, you must complete the registration process in accordance with instructions provided. Once registered, you will be issued a user name and password in order to use myToyota Connect. You must memorise your password or store your password in a safe and secure place. Do not disclose your password to anyone or allow any other person to access or use your account.

4. Consent to Use of Data:
You agree that Toyota may collect and use:

  1. technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals that is gathered periodically; and
  2. if you log into myToyota Connect using your profile on a third-party service, website or application, data from your profile on such service, website or application,
  3. in each case to facilitate the provision of software updates, product support and other services to you (if any) related to myToyota Connect. Toyota may use this information to improve its products and/or provide services or technologies to you.

    5. Privacy and Security:

    5.1. The terms of Toyota's privacy policy, available at www.toyota.com.au/privacy (Privacy Policy) and which may be updated from time to time are incorporated into these Terms of Use by reference.

    5.2. If you provide or make available any personal information or sensitive information of a third-party to Toyota via myToyota Connect you warrant that you have obtained the third-party's consent to disclose their information to Toyota for collection, use and transfer in accordance with the terms of the Privacy Policy. Your information may be collected, held, used and shared within the OneToyota network* to provide you an integrated guest experience across the network, and will be handled in accordance with the privacy policies of those OneToyota organisations that deal with you (as applicable) available at www.toyota.com.au/privacy.

    * OneToyota network comprises: Toyota, authorised Toyota dealers in Australia, Toyota Finance Australia Limited, Aioi Nissay Dowa Insurance Company Australia Pty Ltd trading as Toyota Insurance, and Toyota Western Australia (comprising Prestige Motors Pty Ltd as trustee for the Prestige Toyota Unit Trust and Eastpoint Pty Ltd).

    5.3. By using myToyota Connect you acknowledge and agree that internet transmissions are never completely private or secure. You understand that any message or information you send using myToyota Connect may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted. Toyota does not warrant that myToyota Connect is free of viruses or other harmful elements.

    6. Toyota Marketing:

    6.1. If you submit personal information via the myToyota Connect application , your personal information will be handled in accordance with the Toyota Group Privacy Policy available at www.toyota.com.au/privacy and the privacy policies of the other OneToyota organisations that deal with you (if any). This includes using information that you have submitted via the Application to personalise the marketing communications that we send to you as outlined in the privacy policies.

    6.2. Please note that the organisations comprising the OneToyota network are separate organisations to Toyota. If you do not wish to receive marketing communications or surveys from a member of OneToyota, you can let that organisation know at any time using the contact details in their respective privacy policies or utilising the “unsubscribe” or other opt-out function offered by the organisation in each marketing communication.

    7. Termination:

    7.1. Toyota may immediately terminate your rights to access and use myToyota Connect:

    1. by giving notice to you if you breach any of the Terms of Use; or
    2. if the Application is disabled or removed from your device by the third party operator of the online marketplace from which you obtained the Application.

    7.2. You may terminate your rights to access and use myToyota Connect pursuant to these Terms of Use by providing a request to Toyota, through the Application, to remove/delete your myToyota Connect account.

    7.3. Upon termination of these Terms of Use for any reason, you must cease all use of myToyota Connect.

    8. Services and Third-Party Materials:

    8.1. myToyota Connect may enable access to Toyota’s and third-party services and web sites (collectively and individually, Services). Use of Services may require internet access. Subject to being provided reasonable notice of any additional terms of use required for such Services (if applicable) you accept any such additional terms. You understand that by using any Services, you may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language. Nevertheless, you agree to use the Services at your sole risk and that Toyota shall not have any liability to you for content that may be found to be offensive, indecent or objectionable. Toyota, and its licensors, reserve the right to change, suspend, remove, or disable access to any Services at any time without notice. In no event will Toyota be liable for the removal of or disabling of access to any such Services. Toyota may also impose limits on the use of or access to certain Services, in any case and without notice or liability.

    8.2. To the extent that your vehicle is equipped with a factory installed data communication device which Toyota uses to provide you with a range of services and functionality (Connected Services), then your use of the Application to access those Connected Services will be governed by both these Terms of Use and the Connected Services Terms of Use, as applicable. The Connected Services Terms of Use are available at https://www.toyota.com.au/connected/terms-conditions.

    8.3. Certain Services may display, include or make available content, data, information, applications or materials from third parties (Third-Party Materials) or provide links to certain third-party web sites. By using the Services, you acknowledge and agree that Toyota is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third-Party Materials or web sites. Toyota does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any third-party Services, Third-party Materials or web sites, or for any other materials, products, or services of third parties.

    9. Variations:

    9.1. Toyota may vary myToyota Connect, the Services it provides and/or these Terms of Use, including but not limited to changing the functionality and/or appearance of myToyota Connect, by notifying you either by email or when you next start the Application. Your continued use of the Application after such a variation constitutes your acceptance of the updated Application, Services and/or the Terms of Use, as applicable.

    10. No Warranty:

    10.1. While Toyota will use reasonable endeavours to ensure that the Application is made available to you within business hours, you acknowledge that circumstances outside of Toyota’s control may result in the Application being unavailable from time to time. Toyota will use reasonable endeavours to restore the Application’s functionality as soon as possible if this occurs.

    10.2. You expressly acknowledge and agree that your use of myToyota Connect is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy and effort is with you. To the maximum extent permitted by applicable law, including the Competition and Consumer Act 2010 (Cth), myToyota Connect and any Services are provided on an "as is" and “as available” basis, with all faults and without warranty of any kind and Toyota hereby disclaims all warranties, guarantees and conditions with respect to myToyota Connect and any Services. Toyota does not warrant against interference with your enjoyment of myToyota Connect, that the functions contained in, or Services performed or provided by, myToyota Connect will meet your requirements, that the operation of myToyota Connect or Services will be uninterrupted or error-free, or that defects (if any) in myToyota Connect or Services will be corrected. No oral or written information or advice given by Toyota or its authorised representative shall create a warranty.

    10.3. To the maximum extent permitted by applicable law, Toyota expressly limits its liability for breach of a condition or warranty implied or a consumer guarantee imposed by virtue of any legislation to the following remedies:

    10.3.1. in the case of goods, any one or more of the following:
    10.3.1.1. the replacement of the goods or supply of equivalent goods;
    10.3.1.2. the repair of the goods;
    10.3.1.3. the payment of the costs of replacing the goods or of acquiring equivalent goods; or
    10.3.1.4. the payment of the costs of having the goods repaired; and
    10.3.2. in the case of services, the supply of the services again or the payment of the cost of having the services supplied again.

    10.4. The information accessed via myToyota Connect or any Service is not exhaustive. Toyota will make reasonable efforts to ensure that the information provided via myToyota Connect and Services is accurate and current, but makes no warranties or representations that this information is accurate, complete, current or suitable for your purposes. In particular, location data provided by myToyota Connect or any Service is for basic navigational purposes only and is not intended to be relied upon.

    11. Limitation of Liability:

    11.1. Subject to clause 11.2 and to the maximum extent permitted by law, including the Competition and Consumer Act 2010 (Cth), in no event shall either party be liable for any loss or damage (including direct, incidental, special, indirect or consequential damages, loss of profits, loss of data or business interruption costs) arising out of or related to your use of, or inability to use myToyota Connect or Services, however caused, regardless of the theory of liability (contract, tort, including negligence or otherwise) and even if the other party has been advised of the possibility of such damages. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

    11.2. The limitation of liability set out in clause 11.1 does not apply to and will not limit:

    1. your liability for loss or damage arising out of or in connection with your infringement of Toyota’s intellectual property rights, including your breach of clause 12 of these Terms of Use; or
    2. Toyota’s liability for a claim that an individual’s intellectual property rights have been infringed by myToyota Connect or the Services.

    12. Intellectual Property Rights:
    12.1. Toyota owns all intellectual property in myToyota Connect unless indicated otherwise. You agree that, subject to your use of myToyota Connect in accordance with the limited licence granted to you in these Terms of Use, you will not infringe Toyota's intellectual property in myToyota Connect and will not modify, copy, republish, frame, distribute or communicate any part of myToyota Connect or any information contained therein or otherwise use them in a way which will infringe Toyota's intellectual property or other property rights.

    12.2. If a third party alleges or makes a claim that myToyota Connect or the Services infringe that third party's copyright or proprietary rights, your sole remedy and Toyota's entire liability in relation to such claim or allegation shall be, in Toyota's sole and absolute discretion, to: (i) replace or modify the infringing materials so that they are non-infringing; (ii) obtain a licence for you to use the infringing materials or (iii) terminate your access to myToyota Connect.

    14. Governing Law and Jurisdiction:

    14.1. These Terms of Use are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of its courts and courts of appeal from them. The parties will not object to the exercise of jurisdiction of those courts on any basis.

    15. Assignment:

    15.1. Toyota may, upon reasonable notice to you, assign or transfer its rights and obligations under these Terms of Use to another organisation, but this will not affect your rights or Toyota's obligations under these Terms of Use. You may only transfer your rights or obligations under these Terms of Use to another person with Toyota's prior written consent.

    PART B – APPLE iOS TERMS
    16. General:

    16.1. The terms in this Part B apply, in addition to the General Terms in Part A, if you access myToyota Connect via an iOS device.
    16.2. You acknowledge that: (i) Apple Pty Limited, Apple, Inc. or any of their subsidiaries or related entities (Apple) are not a party to these Terms of Use; and (ii) Toyota is solely responsible for the Application and its content.

    17. Scope of Licence:

    This licence granted to you by Toyota is limited to a non-exclusive, non-transferable licence to use the Application on any compatible Apple device that you own or control and as permitted by the Usage Rules as set out in Section 9.b. of the App Store Terms and Conditions.

    18. Maintenance & Support:

    You acknowledge that any maintenance and support services for the Application, if any, will be provided by Toyota and that Apple has no obligation whatsoever to furnish any such services for the Application.

    19. No warranty:

    Not withstanding any other term of these Terms of Use, if the Application does not comply with any applicable warranty or guarantee, you may notify Apple, and Apple will refund the purchase price you paid for the Application, if any. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses incurred by you in connection with the Application's failure to comply with any warranty will be Toyota’s sole responsibility.

    20. Product Claims:

    You acknowledge that Toyota, not Apple, is responsible for addressing any claims from you or any third party relating to the Application or your possession and/or use of the Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

    21. Intellectual Property Rights:

    You acknowledge that in the event of any third-party claim that the Application, or your possession and use of the Application, infringes that third-party’s intellectual property rights, Toyota, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

    22. Third-Party Beneficiary:

    You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms of Use, and, on your acceptance of the terms and conditions of these Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use (as applicable) against you as a third-party beneficiary thereof.
